Agreement to Terms
By accessing or using TerraKode's website, services, or customer portal, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the services. These terms supplement any individual Statement of Work (SOW) or Master Service Agreement (MSA) you may enter into with TerraKode.
Definitions
"TerraKode," "we," "our," and "us" refer to TerraKode LLC. "Services" means all software development, SaaS applications, consulting, and support services provided by TerraKode LLC. "User," "you," and "your" refer to any individual or entity accessing the Services. "Account" means the registered user account required to access certain features of the Services. "Content" means any data, text, images, or other materials submitted to the Services.
Account Registration and Security
Users must provide accurate, complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for security violations, fraudulent activity, or breaches of these terms. Phone numbers provided during registration may be used for account security, MFA, and service communications. Texts and calls are sent only after you opt in via the consent checkbox during registration.
Phone Number and Communications Terms
Program description: TerraKode offers transactional SMS and voice communications for account security (login verification codes, MFA by text or automated call, and fraud alerts), billing notifications, account status updates, and customer care. No marketing or promotional messages are sent through this program. How you opt in: By checking the communications consent checkbox during account registration at terrakode.com, you expressly consent to receive these texts and automated calls at the mobile number you provide. Consent is not a condition of purchase or use of TerraKode services. If you do not opt in, no texts or calls will be sent to you. How to opt out of texts: Reply STOP to any message at any time to unsubscribe. You will receive a one-time confirmation, then no further messages. Reply START to resubscribe. Note: opting out disables SMS-based login codes and security alerts; emergency fraud alerts may still be delivered by voice where required for account protection. How to opt out of calls: Use the automated opt-out option offered during any call, or contact us at the email listed on this page. Voice calls are placed only between 8:00 a.m. and 9:00 p.m. local time. How to get help: Reply HELP to any message, or contact us at the email address listed in the Contact section of this page. Message frequency: Varies based on account activity. Rates: Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Your data: Mobile opt-in data and consent will not be shared with third parties or affiliates for marketing or promotional purposes. Your phone number is used solely to deliver TerraKode services and is never sold, rented, or shared for marketing. TerraKode complies with CTIA guidelines, the TCPA, and applicable carrier requirements for SMS and voice communications.
Acceptable Use and Prohibited Conduct
Users must comply with all applicable laws. Prohibited conduct includes, but is not limited to: illegal activities, harassment, distribution of malware, unauthorized access attempts, reverse engineering, data scraping, spam, interfering with service operation, impersonation, and providing false information. We reserve the right to terminate accounts for violations of these rules.
Services Description
TerraKode provides custom software development, SaaS application development, workflow automation, web development, and technical consulting services. Specific project terms will be outlined in individual Statements of Work. We target 99.9% service availability where applicable, but we do not guarantee uninterrupted service. We may modify or discontinue features with reasonable notice.
Intellectual Property
All code, designs, and deliverables created specifically for your project become your property upon full payment, unless otherwise agreed in writing. TerraKode retains ownership of pre-existing tools, frameworks, and methodologies used in delivery. You retain ownership of all Content submitted to the Services. TerraKode retains the right to use anonymized, aggregated data for service improvement.
Confidentiality
We treat all client information as strictly confidential. Our team operates under binding confidentiality agreements. We do not disclose client relationships or project details without explicit permission. This confidentiality obligation survives termination of the agreement.
Payment and Billing
Fees are as specified in individual SOWs or subscription agreements. Payment terms are Net 30 unless otherwise agreed. Late payments may be subject to service suspension. Refunds are provided at TerraKode's discretion. Taxes are the client's responsibility.
Data Security and Privacy
We implement industry-standard security measures to protect your data. Detailed practices are described in our Privacy Policy at /privacy. You are responsible for maintaining the security of your own account credentials. We will provide breach notification in accordance with applicable laws.
Third-Party Services and Integrations
We may integrate with third-party services, such as telecommunications providers for SMS and voice delivery. Third-party services are subject to their own terms and policies. We are not responsible for third-party service outages or data practices.
Limitation of Liability
TerraKode's liability is limited to the total amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business interruption. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
Indemnification
You agree to indemnify and hold harmless TerraKode and its team members from claims arising from: your use of the services, your violation of these terms, your violation of third-party rights, and your Content.
Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any information will be accurate, reliable, or complete.
Termination
You may terminate your account at any time by closing it. We may terminate or suspend access for violations, non-payment, or security risks. Upon termination, your access ceases and your data is retained per the Privacy Policy, then deleted. Provisions that survive termination include Intellectual Property, Confidentiality, Indemnification, and Limitation of Liability.
Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions. Disputes will first be addressed through good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association. You agree to bring any dispute individually and waive the right to participate in class actions. Some jurisdictions may not enforce arbitration clauses, in which case courts in Delaware shall have exclusive jurisdiction.
Force Majeure
We are not liable for failures caused by events beyond our reasonable control, including natural disasters, acts of government, internet outages, pandemics, or other force majeure events.
Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force and effect.
Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be notified via email or a prominent notice at least 30 days before taking effect. Continued use of the Services constitutes acceptance of the revised terms.
